These Terms of Service ("Terms") are a legal agreement between you (the entity or individual subscribing to the service, "Customer," "you," "your") and Team Moore LLC, doing business as Adominance™ ("we," "us," "our"). These Terms govern your access to and use of the Adominance platform, including all features, services, and content available at adominance.com and its subdomains.
By accessing or using Adominance, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the platform.
1. Eligibility & Account Registration
To use Adominance, you must be at least 18 years of age and have the legal authority to bind the entity you represent. You agree to provide accurate, complete, and current registration information and to keep it updated.
You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys. You are responsible for all activity that occurs under your account. Notify us immediately at support@adominance.com if you suspect unauthorized access.
2. The Adominance Platform
Adominance is an AI-powered marketing automation platform that provides tools for paid search and social campaign management, AI content generation, AI video production, campaign optimization, analytics, and client management. The platform integrates with third-party services including Google Ads, Meta, and LinkedIn, as well as third-party AI providers for content generation and video production.
We reserve the right to modify, update, or discontinue features of the platform at any time. We will provide reasonable notice for material changes that affect your use of the platform.
3. Subscription, Payment & Credits
Adominance is one plan with a platform fee you choose, plus credits for generating content. Every module and unlimited users at any fee. Pick a monthly fee from $0 to $497: each $100 step adds 1,000 credits a month, takes 1¢ off every credit and adds a client workspace. This section explains the fees, how you pay, how credits work, how changing your fee works, and when refunds apply.
3a. Fees & Payment at Signup
There are six published platform fees. Each one includes the same modules, features and users. A fee decides three things: how many credits each month includes, what each credit you buy costs (Section 3d), and how many client workspaces you can have active (Section 3i).
- $0 a month: no annual billing, no included credits, 1 client workspace.
- $97 a month, or $970 a year: 1,000 included credits a month, 2 client workspaces.
- $197 a month, or $1,970 a year: 2,000 included credits a month, 3 client workspaces.
- $297 a month, or $2,970 a year: 3,000 included credits a month, 4 client workspaces.
- $397 a month, or $3,970 a year: 4,000 included credits a month, 5 client workspaces.
- $497 a month, or $4,970 a year: 5,000 included credits a month, no limit on client workspaces.
- Current prices are published on our pricing page or set out in your order form.
- Except under a trial invitation (below), at every fee above $0 the platform fee is paid at signup, and your subscription starts when your first payment settles. What is due at signup is the first month's fee, or the first year's fee on annual billing, plus assisted onboarding if you add it (Section 3h).
- The $0 fee has no subscription. You start a $0 account by buying starting credits at signup: 300 credits for $24, 625 credits for $50, or 1,250 credits for $100, each priced at the $0 credit price in Section 3d. That purchase, plus assisted onboarding if you add it, is what is due at signup. Nothing is billed monthly at $0; you buy credits whenever you need them.
- Annual billing is offered at every fee except $0. An annual fee is ten times the monthly fee and discounts the platform fee only. Credits you buy are priced at your fee's credit prices in Section 3d, on monthly and annual billing alike.
- Adominance may, at its discretion, extend a trial period to a specific business by written invitation. A trial invitation is not an offer to the public. It is for the $497 fee on monthly billing only, it requires a valid payment method, it begins when you complete signup, and it converts to a paid monthly subscription at the $497 fee at the end of the trial period unless you cancel before then. During a trial period you cannot buy credits or change your fee.
- Accounts activated through a trial invitation are not eligible for the money-back guarantee. Credits provided during a trial have no cash value and are forfeited at the end of the trial or on cancellation.
- Subscriptions renew automatically at the end of each billing period (monthly or annual) unless you cancel before the renewal date.
- If payment fails, we may suspend your access until the outstanding balance is resolved. Accounts with balances unpaid for more than 30 days may be terminated.
3b. Payment Processor
- Payments are processed by Stripe, Inc. ("Stripe"), our third-party payment processor. We do not store full card numbers.
- By subscribing or buying credits, you authorize us to charge your payment method for your subscription on a recurring basis, for a higher fee you choose under Section 3j, and for any credits and add-ons you choose. Every credit purchase is one you make; nothing is bought on your behalf.
- Stripe's handling of your payment information is subject to Stripe's privacy policy.
3c. 7-Day Money-Back Guarantee
- You may request a refund of your first platform fee within 7 days of paying it by contacting support@adominance.com. We may decline the refund if you have used more than 500 credits, however early you ask.
- The guarantee applies to the platform fee only. Within those 7 days, a prorated charge for raising your fee (Section 3j) is part of the platform fee and is covered too. Refunds are paid to the original payment method.
- The guarantee is available once per business. The guarantee never applies to a later signup.
- There is no platform fee at $0, so there is nothing to claim under the guarantee while you are at $0. If you start at $0 and later move to a paid fee, the guarantee covers that first platform fee, within 7 days of paying it.
- Credits you have bought are not refundable, whether or not you have used them. This applies to every credit purchase, the starting credits bought at $0 included, and it is separate from the platform-fee guarantee above.
3d. Credits
- Generation is priced in credits from our published rate card. The credits an action uses are set by the rate card in effect when the action starts. Where we show you an estimate before you commit, it is an estimate, and the credits the action uses can differ from it. An action may not start if you do not have enough credits available for it.
- Included credits are the credits your fee includes each month (Section 3a). There are none at $0. Annual plans receive their included credits each month, not once a year. Included credits are added once the related payment has settled, and unused included credits expire at the end of the billing period they come with. On annual billing, each month's included credits expire at the end of that month.
- A top-up is a purchase of credits in any amount, from a single credit upwards. The price falls as you buy more within a billing month, in four price bands, and each credit is priced by the band it falls in. At the $497 fee, the first 20,000 credits are 3 cents each, the next 75,000 are 2.5 cents, the next 150,000 are 2.25 cents, and everything beyond that is 2.15 cents. At each lower fee, every band costs 1 cent more per credit for each fee step below $497:
- $397 fee: 4, 3.5, 3.25 and 3.15 cents
- $297 fee: 5, 4.5, 4.25 and 4.15 cents
- $197 fee: 6, 5.5, 5.25 and 5.15 cents
- $97 fee: 7, 6.5, 6.25 and 6.15 cents
- $0 fee: 8, 7.5, 7.25 and 7.15 cents
- Each billing month starts at the top of your fee's bands. A billing month is the monthly period your included credits cover (on annual billing, each month of the year). At $0, it is the calendar month, in Coordinated Universal Time. Buying more credits never changes the price of credits you have already bought.
- Top-up credits, starting credits included, are added when the payment settles and expire 24 months after the day they are added.
- Credits are used in this order: included credits first, then the credits you have bought. Within each kind, the credits that expire soonest are used first.
- Credits you pay for, included credits among them, are added only after the related payment settles. No credits are added on authorization of a payment. Two kinds of credits have no payment to wait for. The first is a trial invitation: the credits included with a trial are added at the start of the trial period, before any payment, and they have no cash value. The second is credits we grant you as an adjustment, which are added when we grant them.
- Your credits page shows your available balance, how many credits of each kind you hold, when the next credits expire, and a history of credits granted, used, expired and adjusted.
3e. Undelivered Work
- Credits are charged when an order is placed with our supplier.
- If a video or other generated deliverable is not delivered, the credits are refunded to your balance automatically.
- Every charge stays in your credit history, even if you later delete the asset.
3f. Taxes, Price Changes & Refunds
- You are responsible for all applicable taxes associated with your subscription and your credit purchases.
- We may change platform fees and the prices of credits you buy with at least 30 days' notice. A new platform fee applies from your first billing period that begins after the notice period ends. New credit prices apply to purchases made after the notice period ends, at every fee including $0. Continued use after the price change takes effect constitutes acceptance.
- The 30 days' notice does not apply to the rate card. We review the rate card regularly, and the number of credits an action uses can change at any time. An action uses the rate card in effect when it starts (Section 3d).
- All fees are non-refundable except as expressly stated in these Terms (including Sections 3c and 3h) or required by law.
3g. Abuse & Chargebacks
- We may suspend or terminate an account without refund, and the account forfeits its credits and assets, for fraud, chargeback abuse, or operating multiple accounts to obtain included credits or the money-back guarantee more than once. The 90-day export period in Sections 7d and 14 does not apply to forfeited assets.
- If you dispute a charge with your bank or card issuer (a chargeback), we may freeze your account while the dispute is resolved. During that time we may revoke unconsumed credits, pause exports and publishing, and cancel queued jobs.
- If you think a charge is wrong, contact support@adominance.com first so we can look into it.
3h. Assisted Onboarding
- Assisted onboarding is an optional service you can add when you sign up, whatever fee you choose. It is a single payment of $500 and covers your first 90 days: a training session to get you started, then three monthly review meetings with us. It is not available with a trial invitation.
- Assisted onboarding is refundable in full until the initial training session is held; after that it is not refundable.
3i. Client Workspaces
- A client workspace is a client in your account that is active and not deleted. Archiving or deleting a client frees its workspace.
- Your fee sets how many client workspaces you can have active: 1 at $0, 2 at $97, 3 at $197, 4 at $297 and 5 at $397. There is no limit at $497. Client workspaces are the only thing a fee limits; modules, features and users are never limited by fee.
- You cannot add a client workspace beyond your fee's allowance. When a lower fee is scheduled (Section 3j), the lower of the two allowances applies from the moment it is scheduled, and withdrawing the scheduled change lifts it.
3j. Changing Your Fee
- Raising your fee applies right away. We charge your payment method the difference between the two fees for the rest of your current billing period, monthly or annual, and the new fee applies once that payment goes through. We also add the difference in included credits between the two fees for the rest of the current month, rounded down to a whole credit; those credits expire with that month's included credits. If the payment does not go through, your fee does not change.
- Lowering your fee applies at your next renewal, which on annual billing is the end of the year you have paid for. Until then your current fee, its included credits and its prices stay in effect. You can withdraw a scheduled lower fee before it takes effect.
- Moving to $0 ends your subscription at the end of the billing period you have paid for. From then on, no fee is billed, no included credits are added, and you buy credits at the $0 prices. Your account, clients and content stay active at $0; moving to $0 is not canceling your account (Section 14).
- Leaving $0 starts a subscription at the fee you choose, monthly or annual, through checkout. The new fee applies, and its included credits are added, once that first payment settles.
- A fee change cannot be made while you have more active client workspaces than the new fee allows. Archive or delete clients first, or choose a fee that allows them. We never archive or delete a client workspace because of a fee change.
- A fee change also cannot be made in some other situations, including during a trial period, while your subscription is set to cancel, while a renewal payment is unpaid, and while an earlier fee change is still being processed.
- Credits you have bought keep their dollar value when your fee changes, less any fraction of a credit lost to rounding down. When a fee change takes effect, the unexpired credits you have bought are converted to the credit prices of your new fee: the credits remaining, times the price you paid for them, divided by what that same credit costs at the new fee, rounded down to a whole credit. Moving to a higher fee raises the number of credits you hold, and moving to a lower fee lowers it. For example, 10,000 credits bought at 3 cents each at the $497 fee become 4,285 credits at the $97 fee, where the same credit costs 7 cents. Converted credits keep their original expiry date.
- Before you confirm a fee change, we may show you an estimate of the charge, the included credits it adds, and what your bought credits become; it is an estimate, and the actual amounts can differ from it. The conversion is calculated when the change takes effect, so credits used in between are not converted.
4. License & Restrictions
4a. License Grant

- Review AI-generated content before publication — you are solely responsible for the accuracy, legality, and appropriateness of any AI-generated content you publish or distribute

6. AI-Specific Terms
6a. Nature of AI Services
AI features within Adominance use large language models and generative AI provided by third parties. AI outputs are generated probabilistically and:
- May not always be accurate, complete, current, or free from errors
- May produce content similar to content generated for other users
- May reflect biases present in training data
- Are not guaranteed to be unique, non-infringing, or factually correct
AI features are tools to assist your work, not replacements for professional judgment.
6b. AI Content Ownership & Intellectual Property
Subject to the underlying AI provider terms and applicable law:
- You retain rights to the outputs generated through your use of AI features on the platform, to the extent permitted by law
- You acknowledge that purely AI-generated works may not be eligible for copyright protection under current U.S. Copyright Office guidance, and we make no representation regarding the copyrightability of AI outputs

- We retain all rights to the platform itself, including its design, algorithms, AI integrations, and underlying technology
6c. AI Video Studio
When using AI video features, you additionally agree to:
- Disclose synthetic media — where required by law, clearly label AI-generated videos as synthetic media
- Secure appropriate rights — ensure you have the right to use any likeness, voice, or brand elements incorporated into AI-generated videos
- Prohibited uses — you may not use the video studio to create deepfakes of real people without their consent, deceptive impersonations, non-consensual intimate imagery, or content designed to mislead viewers about the authenticity of the video
6d. AI Content Review Obligation
You must review all AI-generated content before publishing, distributing, or acting on it. We are not liable for any damages, claims, or losses arising from AI-generated content that you publish without adequate review. This includes but is not limited to inaccurate claims, intellectual property infringement, regulatory violations, or reputational harm.
6e. AI Usage Limits & Providers
Generation through AI features is metered in credits under Section 3, and new accounts may be subject to per-hour generation caps. We reserve the right to modify AI providers, models, or capabilities at any time. We will provide reasonable notice for material changes to AI features.
6f. Prohibited AI Uses
You may not use AI features to:
- Generate content that violates applicable law or third-party AI provider acceptable use policies
- Generate discriminatory, harassing, threatening, or illegal content
- Generate spam or content designed to deceive consumers
- Attempt to extract training data or reverse-engineer AI models
- Circumvent AI safety measures or content filters
7. Data Rights & Processing
7a. Your Data
You retain all rights, title, and interest in your Client Marketing Data and content you upload to the platform. We do not claim ownership of your data.
7b. License to Process
You grant us a limited, non-exclusive license to access, process, store, and transmit your data solely as necessary to provide the Adominance platform and its features, including transmission to AI sub-processors and connected third-party platforms as directed by you.
7c. No Model Training
We do not use your Client Marketing Data, AI inputs, or AI outputs to train, fine-tune, or improve any AI or machine learning models. We contractually require our AI sub-processors to uphold this commitment.
7d. Data Portability & Deletion
You may export your data at any time while your account is active, at any fee including $0, through the platform's export features or by contacting us. If you cancel, we keep your data for at least 90 days after your cancellation takes effect. You can ask us for an export during that time. If we terminate your account (Section 14), we keep your data for at least 90 days after termination, and you can ask us for an export during that time. In either case, we may delete it after those 90 days. If you close your account, or ask us to delete your data, including after you cancel, we delete it within 30 days, as described on our Data Deletion page.
8. Third-Party Integrations
Adominance connects with third-party platforms and services. By enabling these integrations, you:
- Authorize us to access and exchange data with those platforms on your behalf
- Agree to comply with each connected platform's terms of service and policies
- Acknowledge that we are not responsible for the availability, performance, or data handling practices of third-party services
- Understand that if a third-party platform revokes API access or changes its terms, certain Adominance features may be degraded or unavailable, and we are not liable for such disruptions
You are responsible for maintaining valid credentials for all connected integrations.
9. Intellectual Property
The Adominance platform, including its design, code, algorithms, AI integrations, trademarks, service marks, logos, and branding, is the exclusive property of Team Moore LLC. Nothing in these Terms transfers any intellectual property rights to you beyond the limited license granted in Section 4.
If you provide suggestions, ideas, enhancement requests, or other feedback regarding the platform, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback without obligation or compensation to you.
10. Confidentiality
Each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential information includes business data, pricing, API credentials, platform features not publicly available, and any information designated as confidential.
Confidentiality obligations do not apply to information that is publicly available, independently developed, rightfully received from a third party, or required to be disclosed by law.
11. Warranties & Disclaimers

We warrant that the Adominance platform will perform materially as described in our documentation and that we will use commercially reasonable efforts to maintain platform availability and security.
11b. Disclaimers
EXCEPT AS EXPRESSLY SET FORTH IN SECTION 11a, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Without limiting the foregoing:
- AI outputs are provided without warranty of accuracy, fitness, originality, non-infringement, or suitability for any purpose

- We do not warrant that AI-generated content is free from errors, bias, or legal risk
- We do not guarantee the availability or performance of third-party integrations
- The platform is not a substitute for professional legal, advertising compliance, or strategic review
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TEAM MOORE LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Lost profits, revenue, or business opportunities
- Losses from advertising spend or wasted ad budget
- Damages arising from AI-generated content published without adequate review
- Third-party platform policy violations, account suspensions, or terminations
- Data loss beyond our reasonable control
- Loss of goodwill or reputation
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
The limitations in this section do not apply to liability arising from either party's breach of confidentiality, willful misconduct, or indemnification obligations.
13. Indemnification
13a. Your Indemnification
You agree to indemnify, defend, and hold harmless Team Moore LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your violation of these Terms or applicable law
- Claims arising from your marketing campaigns, advertising content, or use of client data
- Claims from your clients or their end users related to your use of the platform
- Your publication or distribution of AI-generated content
- Your creation or distribution of AI-generated video or synthetic media
- Your violation of third-party platform terms or policies
- Your infringement of any third-party intellectual property rights
13b. Our Indemnification
We will indemnify, defend, and hold you harmless from claims that the Adominance platform itself (excluding AI-generated outputs and third-party components) infringes a third party's intellectual property rights, provided you promptly notify us of the claim, give us sole control of the defense, and cooperate with our defense.
14. Term & Termination
- Account term: Your account becomes active when your signup payment settles (see Section 3a): your first platform fee at a paid fee, or your starting credits at $0. Under a trial invitation, it becomes active when you complete signup. It stays active, at whatever fee you choose under Section 3j, including $0, until it is canceled, closed or terminated as described below.
- Subscription Term: At every fee above $0, your Subscription Term begins when your first payment settles (see Section 3a) and continues for the applicable billing period (monthly or annual), automatically renewing unless canceled. A $0 account has no subscription and no Subscription Term. Leaving $0 starts a new Subscription Term when its first payment settles.
- Trial period: Where your account was activated by a trial invitation, the trial period begins when you complete signup. A trial period is not part of the Subscription Term: your Subscription Term begins when your first payment settles at the end of the trial period.
- Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period: you keep access until then, and your access to the account ends when it takes effect. If a lower fee or a move to $0 is scheduled and has not yet taken effect, canceling withdraws it. During a trial period you may cancel at any time before the trial period ends, and no Subscription Term begins. No partial refunds are provided for unused time, except under the money-back guarantee in Section 3c.
- Moving to $0 is not canceling: Moving to the $0 fee (Section 3j) also ends your subscription at the end of the billing period you have paid for, but your account stays active. Your clients and content stay available, the credits you have bought stay in your account (converted as described in Section 3j), and you can keep using the platform and buy credits at the $0 prices. Canceling ends your access to the account.
- Closing a $0 account: A $0 account has no subscription to cancel. You may close it at any time by contacting support@adominance.com.
- Termination for abuse: We may suspend or terminate your account without refund for fraud, chargeback abuse or multiple accounts, as described in Section 3g.
- Termination for cause: Either party may terminate for material breach if the breach is not cured within 30 days of written notice.
- Immediate termination: We may immediately suspend or terminate your account for illegal use, non-payment exceeding 30 days, security threats, or violation of the Acceptable Use provisions.
- Effect of termination: Upon termination, your access ceases immediately. When a cancellation takes effect, or your account is closed, your access ends at that point. We keep your data for at least 90 days after your cancellation takes effect, or after termination. You can ask us for an export during that time (Section 7d). We may delete it after those 90 days. If you close your account, or ask us to delete your data, we delete it within 30 days, as described on our Data Deletion page. Outstanding payment obligations, confidentiality, limitation of liability, and indemnification provisions survive termination.
15. Service Availability
We target 99.9% monthly uptime for the Adominance platform, excluding scheduled maintenance and circumstances beyond our reasonable control. We will provide reasonable advance notice for scheduled maintenance when possible.
Uptime calculations exclude downtime caused by third-party service outages, force majeure events, or Customer-caused issues. We are not liable for service disruptions caused by third-party platform changes or API deprecations.
16. Acceptable Use
You agree not to use the Adominance platform to:
- Violate any applicable law or regulation
- Infringe or misappropriate any third-party rights
- Distribute malware, conduct phishing, or attempt to breach platform security
- Generate prohibited content through AI features (see Section 6f)
- Interfere with or disrupt the platform for other users
- Exceed reasonable usage patterns or consume excessive resources
- Get around credit metering, generation caps or other usage limits
We reserve the right to suspend accounts that violate this acceptable use policy, with notice where practicable.
17. Dispute Resolution
Governing Law: These Terms are governed by the laws of the State of Virginia, without regard to its conflict of laws principles.
Informal Resolution: Before initiating formal proceedings, the parties agree to attempt to resolve disputes informally by contacting support@adominance.com. We will attempt to resolve the dispute within 30 days.
Arbitration: Any dispute not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will take place in Virginia. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: All disputes must be brought in an individual capacity, not as a plaintiff or class member in any class, consolidated, or representative proceeding.
Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction for matters involving intellectual property rights or confidentiality breaches.
18. Force Majeure
Neither party is liable for failure to perform obligations (other than payment obligations) due to circumstances beyond its reasonable control, including natural disasters, pandemics, war, government actions, utility failures, cyberattacks, AI provider outages, or third-party platform changes or API deprecations.
19. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable order forms or data processing agreements, constitute the entire agreement between you and Team Moore LLC regarding the Adominance platform.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
- Notices: Notices to you will be sent to the email address on your account. Notices to us should be sent to support@adominance.com.
- Independent Contractors: The parties are independent contractors. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship.
- No Third-Party Beneficiaries: These Terms do not create any rights for third parties.
